Welcome to Night Shift Music. These Terms of Use govern your access to and use of the Night Shift Music website, digital store, artist portal, label portal, demo submission systems, and related services (collectively, the “Services”). For purposes of these Terms, “Night Shift Music,” “NSM,” “we,” “our,” or “us” refers to Night Shift Management LLC, doing business as Night Shift Music, including its affiliated record-label brands where applicable. By accessing or using the Services, submitting content, creating or accessing an account, or completing a purchase, you agree to be bound by these Terms and any additional policies referenced herein. If you do not agree to these Terms, do not use the Services.
2. Eligibility
You must be at least 18 years old or have the permission and supervision of a parent or legal guardian to use the Services. You represent that all information you provide to Night Shift Music is accurate, current, and complete. If you make a purchase through the Services, you represent that you are authorized to use the payment method provided.
3. Intellectual Property
All content available through the Services, including but not limited to logos, branding, artwork, graphics, text, audio, videos, sound recordings, release materials, metadata, website design, software, and other content, is owned by or licensed to Night Shift Music or its respective rights holders and is protected by applicable intellectual-property laws. Except as expressly permitted under these Terms or applicable law, no content may be copied, reproduced, modified, distributed, republished, sold, sublicensed, or otherwise exploited without prior written permission from Night Shift Music or the applicable rights holder. Purchase of a digital product does not transfer ownership of any copyright, master recording, composition, artwork, trademark, or other intellectual-property right.
4. Artificial Intelligence Restrictions
Night Shift Music expressly reserves all rights relating to artificial intelligence, machine learning, dataset creation, model training, model testing, model improvement, voice synthesis, voice cloning, and similar technologies. No content made available through the Services may be copied, scraped, downloaded, reproduced, extracted, processed, or otherwise used for the purpose of training, developing, testing, improving, operating, or supporting any artificial intelligence system, machine learning model, generative AI system, dataset, or similar technology without the prior written consent of Night Shift Music. No license or authorization for such uses is granted merely by accessing or purchasing content through the Services.
5. Automated Access and Scraping
Users may not use bots, crawlers, scrapers, automated data-collection tools, data-mining tools, or similar technologies to access, collect, copy, download, index, or extract content from the Services without prior written authorization. Users may not attempt to bypass rate limits, authentication systems, download restrictions, access controls, or other technical protections implemented by Night Shift Music.
6. Demo Submissions
By submitting a demo or other content to Night Shift Music, you represent and warrant that:
a. You own or control all rights necessary to submit the content.
b. The submission does not infringe the rights of any third party.
c. Any use of artificial intelligence, voice synthesis, voice cloning, or generative content has been fully disclosed where applicable.
d. The submission complies with Night Shift Music’s published demo-submission policies.
Submission of content does not guarantee acceptance, signing, release, feedback, compensation, or any future business relationship.
7. Artist Portal and User Accounts
Access to and use of the Night Shift Music Artist Portal is subject to the separate Artist Portal Terms of Use, available at: www.nightshift-msc.com/policies/artistportal-termsofuse
By accessing or using the Artist Portal, users agree to comply with both these Terms of Use and the Artist Portal Terms of Use. Users are responsible for maintaining the confidentiality and security of their login credentials. Login credentials may not be shared with unauthorized persons. Users may only access information, files, contracts, royalty statements, releases, marketing materials, smart links, and other content associated with their authorized account. Any attempt to access another user’s account, data, files, releases, earnings information, or restricted content is strictly prohibited. Night Shift Music reserves the right to suspend, restrict, or terminate Artist Portal access for unauthorized access, credential sharing, suspected fraud, security concerns, or violations of these Terms or the Artist Portal Terms of Use. Nothing displayed, uploaded, requested, or submitted through the Artist Portal modifies or overrides any signed recording, licensing, distribution, management, or other written agreement. If there is a conflict concerning royalties, ownership, licensing rights, accounting, payments, release rights, termination, or another contractual matter, the applicable signed agreement will control.
DIGITAL STORE TERMS
8. Digital Products
Certain releases may be offered for direct purchase through the Night Shift Music digital store. Unless otherwise stated, products sold through the digital store are digitally delivered audio files and no physical product will be shipped. The applicable artist, release title, label, catalog number, format, price, and other relevant product information will be presented before purchase. Night Shift Music may add, modify, replace, or discontinue products at any time.
9. License for Purchased Music
Upon successful payment, the purchaser receives a limited, non-exclusive, non-transferable license to possess and use the purchased digital files for lawful purposes including:
personal listening;
storage in personal music libraries and devices; and
lawful DJ and public-performance use where any separately required licenses or permissions have been obtained.
A purchase does not grant the purchaser ownership of the master recording, composition, artwork, trademarks, or any other intellectual-property rights.
Unless separately authorized in writing by the applicable rights holder, purchasers may not:
redistribute or share the purchased files;
resell or sublicense the files;
upload the files for public download;
distribute the files through peer-to-peer or file-sharing services;
use the files in unauthorized synchronization projects;
commercially reproduce or distribute copies;
sample, remix, modify, or create derivative works for redistribution; or
otherwise exploit the recordings beyond the limited license granted by these Terms.
10. Download Access
Unless otherwise stated at the time of purchase, each digital purchase includes:

Thirty (30) days of download access
The access period begins upon successful completion of payment. The expiration of the download-access period does not cause files already downloaded by the purchaser to expire. Customers may continue to retain and use lawfully downloaded files subject to these Terms. Customers are responsible for securely storing and backing up downloaded files. Download availability displayed on the purchase-access page reflects Night Shift Music’s records at the time the page is accessed. If a legitimate technical failure causes a download to be consumed without successfully delivering the purchased file, the customer may contact Night Shift Music for assistance.
11. Purchase Access Links
Following a successful purchase, Night Shift Music may send the purchaser a unique purchase-access link by email.
The purchase-access page may display:
purchased product information;
remaining downloads;
download expiration;
payment status;
refund status;
revocation status; and
other information related to the purchaser’s digital entitlement.
Purchase-access links are intended solely for the purchaser and should not be publicly posted or shared with unauthorized persons. Night Shift Music may revoke, replace, or disable an access link where reasonably necessary because of fraud, security concerns, unauthorized sharing, refunds, chargebacks, payment reversals, or other misuse.
12. Digital Delivery
Digital products are generally made available after payment has been successfully confirmed.
Night Shift Music does not guarantee that download systems will operate without interruption. Access may be temporarily unavailable because of maintenance, hosting issues, network problems, security events, outages, or circumstances outside Night Shift Music’s reasonable control. If Night Shift Music is unable to deliver a legitimately purchased product, the customer should contact Night Shift Music so the issue can be reviewed.
13. Pricing, Payments, and Taxes
Prices are displayed in the currency shown during checkout.
Payments are processed through third-party payment processors, including Stripe or successor payment providers. Night Shift Music does not directly store complete payment-card information submitted through third-party payment processors. Applicable sales, use, value-added, or similar taxes may be calculated and added where required by law. The final amount charged, including applicable taxes, will be displayed before completion of the transaction. Night Shift Music may change product pricing at any time. Price changes do not retroactively alter completed purchases.
14. Refunds for Digital Purchases
Because digital products are delivered electronically, purchases are generally final and non-refundable once download access has been provided, except where required by applicable law or where Night Shift Music determines that a refund is appropriate.
Night Shift Music may approve refunds in circumstances including:
duplicate purchases;
incorrect products;
corrupted or defective files;
failure to provide the purchased product;
unauthorized or fraudulent transactions; or
other circumstances determined appropriate by Night Shift Music.
If a purchase is fully refunded, remaining download access associated with that purchase may be immediately revoked. A partial refund does not necessarily result in revocation of download access unless Night Shift Music determines otherwise. Nothing in these Terms limits any consumer right that cannot legally be waived or excluded.

15. Chargebacks, Payment Disputes, and Reversals
If a transaction is disputed, charged back, reversed, cancelled, determined to be fraudulent, or otherwise determined not to have been successfully paid, Night Shift Music may suspend or revoke access to the associated digital product. Night Shift Music reserves the right to restrict future purchases or access where it reasonably determines that an account, customer, payment method, or transaction has been associated with fraudulent activity or abuse of the Services. Nothing in this section prevents a customer from exercising legitimate rights through their financial institution or applicable law.
16. Product Availability and Rights Issues
Night Shift Music may remove or restrict a digital product where reasonably necessary because of:
copyright or ownership disputes;
licensing restrictions;
takedown requests;
court orders;
legal claims;
contractual limitations;
security issues; or
other circumstances requiring removal of the product.
Where reasonably possible, Night Shift Music will attempt to honor existing valid purchases during their applicable download-access period, but continued availability cannot be guaranteed where Night Shift Music no longer has the legal right or practical ability to distribute the product.
GENERAL TERMS
17. User Conduct
You agree not to:
violate any applicable law or regulation;
upload malicious software or harmful code;
interfere with the security or operation of the Services;
impersonate another person or entity;
submit fraudulent, misleading, infringing, or unauthorized content;
circumvent access controls or security measures;
abuse purchase or download systems;
fraudulently obtain digital products;
share restricted account or purchase-access credentials; or
use the Services for unlawful activity.
18. Third-Party Services
The Services may rely on or contain links to third-party websites, distributors, streaming platforms, payment processors, cloud-storage providers, email-delivery services, analytics providers, or other services. Night Shift Music is not responsible for the independent content, availability, policies, security practices, or operations of third-party services. Use of third-party services may also be governed by the terms and privacy policies of those providers.
19. Disclaimer of Warranties
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Night Shift Music makes no warranties, express or implied, regarding the availability, reliability, accuracy, merchantability, fitness for a particular purpose, security, compatibility, or uninterrupted operation of the Services. Nothing in this section excludes warranties or rights that cannot legally be excluded.
20. Limitation of Liability
To the fullest extent permitted by law, Night Shift Music, Night Shift Management LLC, their owners, officers, employees, contractors, affiliates, labels, and representatives shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to use of the Services. To the fullest extent permitted by law, Night Shift Music’s aggregate liability arising from a digital purchase shall not exceed the amount actually paid by the purchaser for the product giving rise to the claim. Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Night Shift Music, Night Shift Management LLC, and their affiliates from claims, damages, liabilities, costs, and reasonable expenses arising from:
your misuse of the Services;
your violation of these Terms;
content submitted by you;
your infringement of intellectual-property or other third-party rights; or
unlawful use or redistribution of purchased digital content.
22. Termination and Suspension
Night Shift Music may suspend, restrict, or terminate access to the Services where reasonably necessary because of:
violations of these Terms;
fraud or suspected fraud;
security risks;
misuse of accounts or access links;
unlawful conduct; or
other conduct that threatens Night Shift Music, its artists, customers, systems, or third parties.
Termination of general website access does not alter rights and obligations arising from valid contracts unless otherwise provided by those contracts.
23. Electronic Communications
By making a purchase, submitting information, or otherwise communicating with Night Shift Music electronically, you consent to receive transactional communications relating to that activity.
Such communications may include:
purchase confirmations;
download-access emails;
payment notices;
security notices;
support responses; and
other communications necessary to administer the Services.
Transactional communications are separate from promotional marketing communications.
24. Changes to These Terms

Changes will not retroactively alter material terms of a completed digital purchase except where necessary to comply with law, address fraud or security issues, or protect intellectual-property rights. Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
25. Governing Law and Venue
These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles. Except where applicable law provides otherwise, any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Bexar County, Texas.
26. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
27. Entire Agreement and Other Agreements
These Terms, together with any policies expressly incorporated by reference, constitute the agreement governing general use of the Services. Separate signed recording, licensing, distribution, management, or other agreements between Night Shift Music and artists, labels, partners, or other parties remain independently enforceable according to their terms. If these Terms conflict with a separately signed written agreement regarding matters covered by that agreement, the signed written agreement controls with respect to those matters.

25. Governing Law and Venue
These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles. Except where applicable law provides otherwise, any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Bexar County, Texas.
26. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
27. Entire Agreement and Other Agreements
These Terms, together with any policies expressly incorporated by reference, constitute the agreement governing general use of the Services. Separate signed recording, licensing, distribution, management, or other agreements between Night Shift Music and artists, labels, partners, or other parties remain independently enforceable according to their terms. If these Terms conflict with a separately signed written agreement regarding matters covered by that agreement, the signed written agreement controls with respect to those matters.
