These Terms of Use (“Terms”) govern access to and use of the Night Shift Music Artist Portal (“Portal”) operated by Night Shift Music LLC, including its affiliated and managed labels (“Night Shift Music,” “NSM,” “we,” “us,” or “our”).


By accessing or using the Portal, you acknowledge that you have read, understood, and agreed to these Terms.


1. Relationship to Artist Agreements


The Portal is an administrative and informational service provided to artists who have entered into a written agreement with Night Shift Music or one of its affiliated or managed labels. These Terms do not replace, amend, extend, or override any recording agreement, distribution agreement, licensing agreement, management agreement, amendment, release authorization, or other written agreement between you and Night Shift Music. If these Terms conflict with a signed written agreement, the signed written agreement will control regarding royalties, ownership, licensing, accounting, payments, release rights, termination, reversion, or any other contractual matter. Nothing displayed or submitted through the Portal creates a new contractual obligation unless Night Shift Music expressly agrees to it in a separate written document.


2. Eligibility and Authorized Access


Portal access is limited to artists currently or previously signed to Night Shift Music or one of its affiliated or managed labels and who have been approved for an account.


By using the Portal, you confirm that:

  • You are the artist associated with the account;

  • The information connected to your account is accurate;

  • You have legal authority to accept these Terms; and

  • Your Portal access has not been suspended or revoked.


If you are under the legal age required to enter into a binding agreement, your account must be authorized by a parent, guardian, or other legally authorized representative. Portal accounts are personal and may not be sold, transferred, sublicensed, or shared with managers, collaborators, attorneys, accountants, assistants, or other third parties without prior authorization from Night Shift Music.


3. Account Security


You are responsible for protecting your login credentials and for activity conducted through your account.


You agree to:

  • Use a secure and confidential password;

  • Not share your login credentials;

  • Keep your email address and account information current;

  • Immediately notify Night Shift Music of suspected unauthorized access; and

  • Log out of your account when using a shared or public device.


Night Shift Music may temporarily restrict or suspend an account when unauthorized access, suspicious activity, credential sharing, or another security concern is suspected. You may be held responsible for actions taken through your account before Night Shift Music receives notice that the account may have been compromised.


4. Portal Services


Depending on your artist relationship, account permissions, and applicable agreements, the Portal may allow you to:


  • View current and previous releases;

  • View royalty statements and earnings information;

  • Access copies of contracts and related documents;

  • Download approved marketing packs and promotional materials;

  • Access release smart links;

  • Submit music for consideration;

  • Request an artist statement; and

  • Access other artist or release-related information made available by Night Shift Music.


Not every feature will be available to every artist. Night Shift Music may add, remove, modify, restrict, or temporarily disable Portal features when reasonably necessary.


5. Releases and Release Information


Release dates, catalog numbers, artwork, metadata, store links, release status, and other information displayed through the Portal are provided for administrative convenience. Release information may change due to distributor processing, digital service provider requirements, scheduling decisions, metadata corrections, rights issues, delivery problems, or circumstances outside Night Shift Music’s reasonable control. A release appearing in the Portal does not guarantee that it has been accepted, approved, delivered, published, or made available by every digital service provider. Official written communications and the applicable artist agreement will control if Portal information conflicts with a confirmed release decision.


6. Statements, Earnings and Payments


Royalty statements and earnings information displayed through the Portal may be based on reports received from distributors, digital service providers, collection societies, licensees, payment processors, or other third parties.


Displayed amounts may be preliminary and may later be corrected due to:

  • Updated distributor reports;

  • Currency conversion;

  • Returns, refunds, chargebacks, or withheld revenue;

  • Fraudulent or artificial streaming investigations;

  • Tax withholding;

  • Recoupable expenses;

  • Ownership or royalty split corrections;

  • Reporting delays; or

  • Administrative or technical errors.


Portal balances are not bank balances and should not be treated as guaranteed or immediately payable funds.

Payment eligibility, accounting periods, royalty percentages, recoupment, payment thresholds, deductions, and payment timing are governed by the applicable signed agreement.


Submitting a statement request through the Portal does not alter the accounting schedule, payment threshold, or payment obligations contained in the applicable agreement. Night Shift Music will review requests within a commercially reasonable period. Nothing in these Terms permits Night Shift Music to retain undisputed royalties that are legally and contractually due to an artist.


7. Contracts and Documents


Contracts and other documents provided through the Portal may be made available as reference copies.

You are responsible for maintaining your own copies of all signed agreements and related documents. Portal access should not be treated as permanent document storage. If a document displayed in the Portal differs from a fully executed version maintained in Night Shift Music’s official records, the fully executed version will control. The appearance of an unsigned draft, template, or incomplete document in the Portal does not make that document binding.


8. Marketing Packs and Promotional Materials


Marketing packs, artwork, videos, logos, promotional graphics, press materials, and other assets made available through the Portal may be used only to promote the applicable artist, recording, or authorized Night Shift Music release.


Unless otherwise approved in writing, you may not:

  • Sell or commercially redistribute Portal assets;

  • Claim ownership of label-owned artwork or branding;

  • Use the assets to promote an unauthorized release;

  • Remove copyright, trademark, credit, or ownership notices;

  • Use the assets in a misleading or defamatory manner; or

  • Materially modify the assets in a way that misrepresents the artist, release, label, or campaign.


You may resize or reformat approved promotional assets for reasonable social media and promotional use, provided the material is not misleading or substantially altered.


9. Smart Links


Smart links provided through the Portal may be shared publicly for the promotion of the applicable release.

Night Shift Music does not guarantee that every store, streaming service, pre-save destination, or third-party link will remain active or available. You may not alter, redirect, disguise, manipulate, or use a smart link for fraudulent traffic, unauthorized advertising, artificial streaming, deceptive marketing, or any unrelated release.


10. Demo Submissions


Music submitted through the Portal is subject to Night Shift Music’s current Demo Submission Policy and any additional instructions displayed during submission.


Submitting music does not:

  • Guarantee review, feedback, acceptance, signing, or release;

  • Create an artist-label relationship;

  • Require Night Shift Music to enter into an agreement;

  • Restrict Night Shift Music from reviewing similar material; or

  • Transfer ownership of the submitted music to Night Shift Music.


You confirm that you own or control the rights necessary to submit the material and that the submission does not infringe copyrights, trademarks, publicity rights, privacy rights, contractual obligations, or other third-party rights.

Any artificial intelligence tools or AI-generated elements used in a submission must be disclosed as required by Night Shift Music’s submission policies. A recording is not accepted for release until the parties enter into an applicable written agreement or Night Shift Music otherwise provides express written confirmation.


11. Prohibited Conduct


You may not use the Portal to:

  • Access another artist’s account or information;

  • Share confidential statements, contracts, payment information, or private label materials without authorization;

  • Upload malware, harmful code, or corrupted files;

  • Circumvent security or account restrictions;

  • Scrape, copy, harvest, or automatically extract Portal data;

  • Reverse engineer or interfere with the Portal;

  • Impersonate another person or artist;

  • Submit fraudulent, misleading, or infringing information;

  • Manipulate royalty, streaming, payment, or release data;

  • Harass Night Shift Music personnel or other artists;

  • Use Portal information for unlawful purposes; or

  • Attempt to disrupt the operation or security of the Portal.


Reasonable downloading of your own statements, agreements, marketing materials, and release information is permitted.


12. Intellectual Property


The Portal, including its software, structure, layout, graphics, text, branding, logos, functionality, and original content, is owned by or licensed to Night Shift Music and is protected by applicable intellectual property laws. Your access to the Portal gives you a limited, revocable, non-exclusive, non-transferable right to use the Portal for authorized artist-related purposes. These Terms do not transfer ownership of your recordings, compositions, artist name, likeness, or other artist-owned material. Ownership and licensing of artist material remain governed by the applicable signed agreement.


13. Confidential Information


The Portal may contain confidential or commercially sensitive information, including royalty data, release schedules, unreleased materials, contracts, payment details, internal notes, marketing plans, and distributor information.


You agree not to disclose confidential Portal information except:

  • To your attorney, accountant, manager, or professional adviser who has a legitimate need to review it and agrees to keep it confidential;

  • When required by law or legal process; or

  • When Night Shift Music gives written permission.


This section does not prevent you from discussing your own general experiences or exercising rights that cannot lawfully be restricted.


14. Third-Party Services


The Portal may contain links to or information received from distributors, digital service providers, payment processors, cloud-storage providers, smart-link providers, or other third-party services. Night Shift Music does not control and is not responsible for the availability, security, content, reporting accuracy, policies, or conduct of third-party services.

Your use of third-party platforms may also be governed by their own terms and privacy policies.


15. Privacy and Data


Night Shift Music may collect and process information reasonably necessary to operate the Portal, administer artist accounts, manage releases, calculate royalties, communicate with artists, maintain security, comply with agreements, and meet legal or tax obligations.


This information may include:

  • Your legal and professional name;

  • Contact information;

  • Login and account information;

  • Release and contract information;

  • Royalty and payment information;

  • Tax documentation;

  • Technical information related to Portal access; and

  • Communications and submissions made through the Portal.


Night Shift Music will take reasonable administrative and technical measures intended to protect Portal information. However, no online system can be guaranteed to be completely secure. You must notify Night Shift Music promptly if you believe your personal, contractual, or financial information has been accessed without authorization. Any separate Night Shift Music Privacy Policy will also apply to Portal use.


16. Electronic Communications


You consent to receive notices and communications relating to the Portal, your account, releases, contracts, statements, security, and these Terms electronically, including by email or through notices displayed in the Portal. You are responsible for maintaining a current email address. Electronic Portal actions, submissions, confirmations, and communications may be retained as business records. However, clicking a button, submitting a request, or uploading a file does not amend a signed agreement unless the Portal expressly states that the action creates a binding amendment and all required parties validly approve it.


17. Portal Availability


Night Shift Music will make reasonable efforts to maintain the Portal but does not guarantee continuous, uninterrupted, or error-free access. Access may be affected by maintenance, upgrades, hosting failures, cybersecurity incidents, third-party outages, internet service problems, force majeure events, or other circumstances outside Night Shift Music’s reasonable control. Temporary Portal unavailability does not waive or extend contractual deadlines unless Night Shift Music confirms an extension in writing.


18. Suspension and Termination of Access


Night Shift Music may suspend, restrict, or terminate Portal access when:

  • You are no longer authorized to use the Portal;

  • Your artist relationship or applicable agreement has ended;

  • Your account presents a security risk;

  • You violate these Terms;

  • Fraud, infringement, or unlawful conduct is reasonably suspected;

  • Continued access could expose confidential information; or

  • Suspension is reasonably necessary to protect Night Shift Music, its artists, or its service providers.


When reasonably appropriate, Night Shift Music may provide notice and an opportunity to correct a violation before permanently terminating access. Termination of Portal access does not terminate or modify rights and obligations under an applicable signed agreement. You may request copies of records you are legally or contractually entitled to receive even if Portal access has ended.


19. Disclaimer of Warranties


The Portal is provided on an “as available” basis. To the maximum extent permitted by law, Night Shift Music disclaims warranties regarding uninterrupted availability, compatibility with every device or browser, freedom from technical errors, or the continued availability of specific Portal features. This disclaimer does not eliminate any express obligation contained in a signed artist agreement.


20. Limitation of Liability


To the maximum extent permitted by law, Night Shift Music will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages resulting solely from Portal use or temporary Portal unavailability.


Night Shift Music is not responsible for losses caused by:

  • Your failure to secure your account;

  • Unauthorized credential sharing;

  • Third-party service failures;

  • Inaccurate information supplied by you;

  • Malware or unauthorized software on your device; or

  • Use of Portal information outside its intended purpose.


These limitations do not apply to fraud, willful misconduct, obligations that cannot legally be limited, or undisputed royalties and payments that are actually due under a signed agreement.


21. Indemnification


You agree to be responsible for reasonable losses, claims, or expenses incurred by Night Shift Music as a direct result of:

  • Your unlawful use of the Portal;

  • Material you submit without the necessary rights;

  • Your intentional violation of these Terms;

  • Fraudulent or materially misleading information supplied through your account; or

  • Your unauthorized disclosure of another person’s confidential information.


This obligation does not apply to losses caused by Night Shift Music’s own negligence, willful misconduct, or breach of a signed agreement.


22. Changes to These Terms


Night Shift Music may update these Terms to reflect changes to Portal features, security practices, operations, or applicable law. Material changes will be communicated through the Portal, by email, or by another reasonable method. Updated Terms will identify their effective date. Changes to these Terms will not retroactively amend royalty percentages, ownership rights, licensing rights, payment obligations, or other material provisions of a signed artist agreement. Your continued use of the Portal after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree, you must discontinue Portal use and contact Night Shift Music regarding alternative access to records you are entitled to receive.


23. Governing Law


These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute concerning royalties, ownership, licensing, accounting, termination, or another matter covered by a signed agreement will be handled under the dispute-resolution provisions of that agreement. Any dispute arising solely from Portal access or use that is not governed by another signed agreement will be brought in a court of competent jurisdiction located in Bexar County, Texas.


24. Severability


If any provision of these Terms is found unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.


25. No Waiver


A failure by Night Shift Music to enforce a provision of these Terms does not waive its right to enforce that provision later.

Termination of Portal access does not terminate or modify rights and obligations under an applicable signed agreement. You may request copies of records you are legally or contractually entitled to receive even if Portal access has ended.


19. Disclaimer of Warranties


The Portal is provided on an “as available” basis. To the maximum extent permitted by law, Night Shift Music disclaims warranties regarding uninterrupted availability, compatibility with every device or browser, freedom from technical errors, or the continued availability of specific Portal features. This disclaimer does not eliminate any express obligation contained in a signed artist agreement.


20. Limitation of Liability


To the maximum extent permitted by law, Night Shift Music will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages resulting solely from Portal use or temporary Portal unavailability.


Night Shift Music is not responsible for losses caused by:

  • Your failure to secure your account;

  • Unauthorized credential sharing;

  • Third-party service failures;

  • Inaccurate information supplied by you;

  • Malware or unauthorized software on your device; or

  • Use of Portal information outside its intended purpose.


These limitations do not apply to fraud, willful misconduct, obligations that cannot legally be limited, or undisputed royalties and payments that are actually due under a signed agreement.


21. Indemnification


You agree to be responsible for reasonable losses, claims, or expenses incurred by Night Shift Music as a direct result of:

  • Your unlawful use of the Portal;

  • Material you submit without the necessary rights;

  • Your intentional violation of these Terms;

  • Fraudulent or materially misleading information supplied through your account; or

  • Your unauthorized disclosure of another person’s confidential information.


This obligation does not apply to losses caused by Night Shift Music’s own negligence, willful misconduct, or breach of a signed agreement.


22. Changes to These Terms


Night Shift Music may update these Terms to reflect changes to Portal features, security practices, operations, or applicable law. Material changes will be communicated through the Portal, by email, or by another reasonable method. Updated Terms will identify their effective date. Changes to these Terms will not retroactively amend royalty percentages, ownership rights, licensing rights, payment obligations, or other material provisions of a signed artist agreement. Your continued use of the Portal after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree, you must discontinue Portal use and contact Night Shift Music regarding alternative access to records you are entitled to receive.


23. Governing Law


These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute concerning royalties, ownership, licensing, accounting, termination, or another matter covered by a signed agreement will be handled under the dispute-resolution provisions of that agreement. Any dispute arising solely from Portal access or use that is not governed by another signed agreement will be brought in a court of competent jurisdiction located in Bexar County, Texas.


24. Severability


If any provision of these Terms is found unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.


25. No Waiver


A failure by Night Shift Music to enforce a provision of these Terms does not waive its right to enforce that provision later.
